Welcome to CalLeads AI. These Terms of Service ("Terms") govern your access to and use of the CalLeads AI platform, website, and related services (collectively, the "Service") operated by CalLeads AI ("we," "our," or "us").

Please read these Terms carefully before using the Service. By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you confirm that you are at least 18 years old, have the legal authority to enter into these Terms, and agree to comply with all applicable laws and regulations. If you are using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

2. Service Description

CalLeads AI provides an AI-powered voice calling platform designed to instantly contact, qualify, and schedule appointments with leads generated from advertising campaigns and web forms. Key features include:

  • Automated AI voice calls to new leads within seconds of form submission
  • Lead qualification through customizable conversation scripts
  • Appointment booking and calendar integration
  • Call recording, transcription, and analytics
  • Integration with advertising platforms, CRMs, and other third-party tools

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where practicable.

3. Account Responsibilities

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Providing accurate and up-to-date account information
  • Notifying us immediately of any unauthorized access to or use of your account

We are not liable for any loss or damage arising from your failure to secure your account.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with all applicable laws, including but not limited to:

  • Telemarketing Regulations: You must comply with the Telephone Consumer Protection Act (TCPA), the Telemarketing Sales Rule (TSR), and all other applicable federal, state, and local telemarketing laws and regulations.
  • Consent: You are solely responsible for obtaining and maintaining proper consent from leads before AI calls are initiated. Leads must have provided express prior consent to be contacted (e.g., by submitting a lead form).
  • Do-Not-Call Compliance: You must honor all applicable Do-Not-Call (DNC) registry requirements and maintain your own internal DNC list.
  • No Spam or Fraud: You may not use the Service to make unsolicited calls, engage in deceptive practices, impersonate others, or conduct any fraudulent activity.
  • No Harmful Use: You may not use the Service to harass, threaten, or abuse any person, or to transmit any malicious, harmful, or objectionable content.
  • Data Protection: You must comply with all applicable data protection and privacy laws (including GDPR and CCPA where applicable) with respect to the lead data you process through the Service.

We reserve the right to suspend or terminate your account if we reasonably believe you are violating these acceptable use requirements.

5. Pricing & Billing

  • Subscription fees are billed on a monthly or annual basis, depending on your selected plan, at the rates displayed at the time of purchase.
  • Usage-based charges (e.g., per-call minutes or additional leads beyond plan limits) will be billed in accordance with the pricing on your plan page.
  • All fees are non-refundable except as expressly stated in these Terms or required by law.
  • We reserve the right to change pricing with at least 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
  • If payment fails, we may suspend access to the Service until the outstanding balance is resolved.

6. Intellectual Property

The Service, including its design, features, code, documentation, logos, and all related intellectual property, is owned by CalLeads AI and protected by applicable copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms. You may not copy, modify, distribute, sell, or lease any part of the Service, nor reverse-engineer or attempt to extract the source code.

You retain ownership of all data and content you upload or process through the Service. By using the Service, you grant us a limited license to use your data solely to provide and improve the Service.

7. Call Recordings & Compliance

The Service may record calls for quality assurance, analytics, and training purposes. You acknowledge and agree that:

  • You are responsible for complying with all applicable call recording consent laws in your jurisdiction and the jurisdictions of the parties being called.
  • The AI agent will disclose that the call may be recorded, as required by applicable law.
  • Call recordings are stored securely and subject to our Privacy Policy.

8. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  • We do not guarantee that the Service will be uninterrupted, error-free, or that any specific results will be achieved.
  • In no event shall CalLeads AI, its directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, data, or business opportunities.
  • Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless CalLeads AI and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or regulation, including telemarketing and data protection laws
  • Any claims by third parties related to calls made through your account

10. Termination

Either party may terminate these Terms at any time:

  • By You: You may cancel your subscription and close your account at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period.
  • By Us: We may suspend or terminate your account immediately if you breach these Terms, engage in prohibited activity, or fail to pay outstanding fees.

Upon termination, your right to use the Service ceases immediately. We may retain your data for a reasonable period in accordance with our Privacy Policy and applicable legal requirements.

11. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising from or related to these Terms shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Wilmington, Delaware.

12. Modifications to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the revised Terms on this page and updating the "Last updated" date. For significant changes, we may also notify you via email or through the Service.

Your continued use of the Service after the revised Terms take effect constitutes your acceptance of the changes.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and CalLeads AI regarding the use of the Service and supersede all prior agreements and understandings.
